    Terms of Service

PLEASE READ CAREFULLY. SECTION 18 CONTAINS A BINDING DISPUTE-RESOLUTION PROVISION, INCLUDING A CLASS-ACTION WAIVER, THAT AFFECTS YOUR LEGAL RIGHTS.

These Terms of Service (the "Terms" or this "Agreement") form a binding agreement between SimplifyGenAI LLC ("Verbeo AI," "we," "us," or "our") and the individual or entity accessing the Services ("you," "your," or "Customer"). They govern your access to and use of the website at https://verbeo.ai (the "Site"), the Verbeo AI voice-agent platform, APIs, dashboards, and any related professional or support services (together, the "Services").

By signing up for, accessing, or using the Site or the Services, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, each as updated from time to time. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

If you do not agree to these Terms, do not access or use the Site or the Services. The Services are intended for business and professional use and are not directed to individuals under 18 years of age.

    1. Definitions

Capitalized terms have the meanings given where they first appear. In addition:

    • "AI Agent" means a configurable conversational voice (or text) agent that you build, deploy, and operate using the Services.
    • "Customer Data" means all data, content, instructions, prompts, knowledge-base material, contact lists, and other information that you or your End Users submit to, or generate through, the Services, including Communications Data.
    • "Communications Data" means audio recordings, transcripts, conversation summaries, call and message metadata, telephony routing data, and interaction logs created when an AI Agent communicates with an End User.
    • "End User" means any person who interacts with your AI Agent or whose information you process through the Services (for example, a person who receives or places a call).
    • "Documentation" means the technical and usage documentation we make available at https://docs.verbeo.ai.

    2. The Services

2.1 Platform. Verbeo AI provides a speech-to-speech voice AI platform that lets you design, deploy, and operate autonomous AI Agents for inbound and outbound voice interactions. Features may include low-latency real-time voice, multi-language support, telephone number provisioning and SIP connectivity, call handling and routing, post-call analytics and transcription, and integrations with third-party tools (for example Salesforce, HubSpot, Zapier, and REST APIs).

2.2 Professional Services. We may offer optional implementation, configuration, integration, and consulting services under a separate statement of work or order form. Those services are governed by these Terms unless the relevant order form states otherwise.

2.3 Changes to the Services. We may add, modify, or discontinue features over time. We will use reasonable efforts not to materially degrade core functionality of a paid Service during a paid term.

    3. Accounts and Eligibility

3.1 Registration. You must provide accurate, complete, and current account and billing information and keep it updated. You are responsible for all activity under your account.

3.2 Eligibility. You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract. The Services may not be used by anyone barred from doing so under applicable law.

3.3 Security of Credentials. You are responsible for safeguarding your API keys, passwords, and other credentials, and for any use of the Services through them. Notify us promptly at legal@verbeo.ai if you suspect unauthorized access.

3.4 Know-Your-Customer. Because the Services enable telephony, we may require identity, business-registration, or other verification before activating certain features, and may suspend access pending verification.

    4. Customer Responsibilities

4.1 General. You are solely responsible for: (a) your use of the Services and your AI Agents' behavior; (b) all Customer Data, prompts, scripts, and configurations you provide; (c) obtaining all consents, permissions, and rights required for your contact lists and for contacting your End Users; (d) the accuracy and lawfulness of the outputs you choose to rely on or act upon; and (e) your compliance with all laws and regulations applicable to your use, including telecom, consumer-protection, and data-protection laws.

4.2 Campaign Operation and Configuration. You are solely responsible for designing, configuring, testing, pacing, and monitoring your own campaigns and AI Agents. This includes, without limitation: selecting and enabling safeguards (such as silence timeouts, voicemail or answering-machine handling, maximum call duration, and retry behavior); setting dial rate, concurrency, and calls-per-second within the limits of your selected plan and your telephony provider's capacity; the quality, accuracy, and reachability of the phone numbers and contact lists you upload; the content and behavior of your prompts and scripts; and reviewing your usage, call outcomes, and analytics on an ongoing basis. You acknowledge that improper configuration or pacing on your side may cause failed or wasted calls, and that such outcomes are your responsibility and do not entitle you to any refund, credit, or other remedy except as expressly stated in Section 6.

4.3 Capacity and Plan Selection. You are responsible for selecting a plan and any capacity, concurrency, or trunk options appropriate for your intended call volume. Throughput limits, rejections, or errors that result from exceeding the capacity of your selected plan or telephony configuration are not a defect in the Services.

4.4 Third-Party Telephony and Carrier Accounts. Where you connect your own telephony, SIP, or carrier account (for example, a third-party carrier or messaging provider) to the Services, all charges, limits, and outages on that account are between you and that provider. We are not responsible for, and owe no refund or credit for, amounts billed to you by any third-party carrier or provider.

4.5 Monitoring. The Services may provide logs, dashboards, and analytics, but you remain responsible for monitoring your campaigns in real time and for pausing or stopping any campaign that is not performing as you intend. We are not obligated to monitor your campaigns on your behalf.

    5. Acceptable Use Policy

This Acceptable Use Policy ("AUP") is part of these Terms. We may suspend or terminate access, in our reasonable discretion, for any actual or suspected violation.

5.1 General Prohibitions. You will not use the Services to: violate any law or regulation; infringe or misappropriate any third party's intellectual-property, privacy, or publicity rights; transmit content that is unlawful, defamatory, harassing, deceptive, or obscene; distribute malware or interfere with the integrity, security, or performance of the Services or any connected network or vendor system; attempt to gain unauthorized access to any system or data; or build a competing product by copying the Services.

5.2 Telecom and Calling Compliance. Where you use the Services to place or receive calls or send messages, you are responsible for complying with all applicable telecom and marketing rules. Depending on where you and your End Users are located, these may include, without limitation, the U.S. Telephone Consumer Protection Act (TCPA) and FTC Telemarketing Sales Rule, U.S. federal and state Do-Not-Call and call-recording (one-party and two-party consent) laws, the EU ePrivacy rules, the UK PECR, India's TRAI commercial-communication and DND regulations, and UAE TDRA rules. In particular, you must, where required by law:

    • obtain and retain documented prior consent before placing automated, prerecorded, or AI-generated marketing calls or messages;
    • honor opt-out requests and scrub your calling lists against applicable Do-Not-Call and DND registries on a regular basis;
    • disclose, at the start of a call, that the End User is interacting with an AI system, where such disclosure is required;
    • notify End Users that a call is being recorded and obtain consent where required;
    • refrain from spoofing or falsifying caller-ID or origin information; and
    • observe permitted calling hours and frequency limits.

You agree to retain records of consent for the minimum period required by applicable law and, where no period is specified, for at least five years. We may audit your use, or request evidence of consent, to verify compliance.

5.3 Voice Rights, Cloning, and Synthetic Media. You may only use voices, names, likenesses, and audio for which you hold the necessary rights and consents. You will not use the Services to clone or imitate the voice or identity of any real person without that person's explicit authorization, nor to create deceptive or fraudulent synthetic media, impersonate any individual or organization, or facilitate scams, phishing, or any "make-money-fast," Ponzi, or pyramid scheme.

5.4 Prohibited and High-Risk Sectors. You will not use the Services for activities we reasonably determine to be abusive or unlawful, and you will not deploy AI Agents for emergency, life-safety, medical-diagnosis, or other safety-critical decision-making (see Section 13).

    6. Payment Terms

6.1 Fees. Fees, plans, and usage rates (including any per-minute or per-call charges) are described at https://verbeo.ai/pricing or in your order form. Unless stated otherwise, subscription fees are billed in advance and usage-based fees in arrears.

6.2 Authorization to Charge. You authorize us (and our payment processors) to charge your designated payment method for all fees and applicable taxes when due, and to place authorization holds where necessary. You must keep a valid payment method on file and update it promptly if it changes.

6.3 Taxes. Fees are exclusive of taxes, levies, and duties. You are responsible for all such amounts, except for taxes based on our net income.

6.4 Auto-Renewal and Cancellation. Subscriptions and recurring items (for example, phone numbers) renew automatically for successive terms unless cancelled before the end of the current term through your account settings. To avoid renewal charges, remove the relevant items or cancel before the renewal date.

6.5 Late Payment. If a charge fails, we may issue an invoice with a due date and a short grace period, after which we may suspend the Services. Past-due amounts may accrue a late fee equal to the lesser of 1.5% per month or the maximum permitted by law, and you are responsible for reasonable collection costs, including legal fees.

6.6 No Refunds. Except where a refund is required by mandatory applicable law, all fees and prepaid usage amounts are non-refundable and non-cancellable. We do not provide refunds, credits, or exchanges for: partial subscription periods; unused capacity, minutes, or features; voluntary cancellation or non-use; dissatisfaction with results or outcomes; or call outcomes (including calls that reach voicemail, answering machines, no-answer, busy, or dead air, or that fail to connect) where those outcomes arise from your campaign configuration, pacing, list quality, plan or capacity selection, third-party telephony, or other matters within your responsibility under Section 4.

6.7 Metering and Billing Records. Usage is metered by our systems and billed on a per-minute (or as stated) basis from the time a call is answered. Our billing and usage records are the authoritative record of your usage and the basis for all charges. Estimates, dashboards, and third-party figures are provided for convenience only and do not override our records.

6.8 Billing Disputes; Dispute Window. If you believe a charge is incorrect, you must notify us in writing at billing@verbeo.ai within fifteen (15) days of the date of the charge, with reasonable detail. If you do not raise a dispute within that window, the charge is final and you waive any claim to a refund or credit for it. Raising a dispute does not suspend your obligation to pay undisputed amounts. We will review timely disputes in good faith against our metering records.

6.9 Service Credits as Sole and Exclusive Remedy. If we determine, in our reasonable discretion, that a charge resulted from a verified defect or error in the Services (for example, a confirmed metering error on our side), your sole and exclusive remedy, and our entire liability, is a service credit applied to your future use of the Services, in an amount not to exceed the fees attributable to the affected calls. Service credits have no cash value, are non-transferable, and cannot be redeemed for money. We do not issue cash refunds.

6.10 Goodwill Credits. Any credit, concession, or accommodation we may choose to offer outside the terms above is provided at our sole discretion as a goodwill gesture, is not an admission of liability or fault, and does not create any obligation, course of dealing, or precedent for any future matter.

6.11 Price Changes. We may change rates prospectively by updating the pricing page or by notice. Changes apply from your next billing cycle. Your continued use after the change takes effect constitutes acceptance.

6.12 Finality of Charges. To the fullest extent permitted by applicable law, charges are final and non-refundable in all circumstances, whatever the cause, including service interruptions, outages, errors, failed, wasted, or unanswered calls, voicemail or dead-air outcomes, third-party or carrier issues, or failure to achieve any expected or hoped-for result. The only exceptions are (a) a discretionary service credit we choose to issue under Section 6.9, and (b) a refund that mandatory applicable law requires and that cannot lawfully be waived. Nothing in this Section limits any remedy that cannot be excluded by law.

    7. Free Trials, Beta, and Evaluation

We may offer free trials or beta, preview, or evaluation features. These are provided "as is," may be changed or withdrawn at any time, and carry no warranties or service commitments. Our total liability for any trial or beta feature is limited as set out in Section 15.

    8. Intellectual Property

8.1 Our IP. We and our licensors own all right, title, and interest in and to the Services, the Site, the underlying software, models, algorithms, and all related intellectual property, including our names, logos, and trademarks (the "Marks"), excluding Customer Data. No rights are granted except as expressly stated.

8.2 License to You. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the term. You will not (and will not permit others to): reverse engineer, decompile, or attempt to derive source code or models; resell, sublicense, or distribute the Services except as permitted; or use the outputs of the Services to train or develop a competing voice-AI model or service.

8.3 Customer Data and Content. As between the parties, you retain all rights in your Customer Data. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Customer Data solely to provide and support the Services, to ensure security and prevent abuse, and as otherwise permitted in the Privacy Policy and any applicable Data Processing Addendum.

8.4 Outputs. Subject to your compliance with these Terms, you may use the transcripts, summaries, and other outputs generated for you through the Services for your internal business purposes. We do not claim ownership of the inputs you provide.

8.5 Service Improvement. We may collect and use usage data and aggregated or de-identified information derived from your use to operate, secure, support, and improve the Services, provided such data does not identify you or any End User. We will not use identifiable Customer Data or Communications Data to train general-purpose models except as permitted by the Privacy Policy, an applicable DPA, or your written instruction.

8.6 Feedback. If you give us feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or obligation to you.

8.7 Publicity. You grant us a limited right to identify you as a customer using your name and logo on the Site and in marketing materials. You may withdraw this right on written notice to legal@verbeo.ai.

    9. Customer Data, Recording, and Data Processing

9.1 Roles. Where we process personal data on your behalf in connection with the Services, you act as the controller (or equivalent) and we act as the processor (or service provider). Our processing is governed by our Data Processing Addendum, available on request, which is incorporated by reference where applicable.

9.2 Recording. The Services may record, transcribe, and analyze calls to provide functionality such as analytics and quality assurance. You are responsible for providing all legally required notices and obtaining all required consents from End Users before recording (see Section 5.2).

9.3 Sub-processors. We use third-party sub-processors (for example, cloud hosting, real-time media and speech providers, and telephony carriers) to deliver the Services. A current list is available on request by emailing privacy@verbeo.ai.

9.4 Security. We maintain commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Data, and will notify you without undue delay of a confirmed security breach affecting your Customer Data. You remain responsible for securing your credentials and configurations.

    10. Confidentiality

Each party may access the other's non-public business, technical, or financial information ("Confidential Information"). The receiving party will use Confidential Information only to perform under this Agreement, protect it with reasonable care, and not disclose it except to personnel and advisors bound by confidentiality. This does not apply to information that is public, independently developed, or rightfully obtained without restriction, or to disclosures required by law (with notice where permitted).

    11. Third-Party Services and Integrations

The Services may interoperate with third-party products (for example, CRMs, automation tools, and telecom carriers). Your use of those products is governed by their own terms, and we are not responsible for them. We may suspend an integration if a third party changes or restricts its service.

    12. Warranty Disclaimer

THE SERVICES, SITE, AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUTPUTS, TRANSCRIPTS, OR AI-GENERATED RESPONSES WILL BE ACCURATE, COMPLETE, OR RELIABLE. YOU ARE RESPONSIBLE FOR EVALUATING OUTPUTS BEFORE RELYING ON THEM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

AI, detection, and connectivity features are best-effort. Without limiting the above, you specifically acknowledge that voice AI is probabilistic and that features such as voicemail and answering-machine detection, silence and speech detection, language understanding, sentiment and intent classification, and call connection and routing are provided on a commercially reasonable, best-effort basis only. We do not warrant that any such feature will be accurate, will correctly classify any given call, will avoid voicemail, dead air, or wasted air-time, or that any minimum proportion of calls will connect or reach a live person. Detection thresholds, timeouts, and call caps are configurable, and it is your responsibility to set and test them for your use case. We make no guarantee of any business result, connection rate, conversion, answer rate, or campaign outcome. You assume all risk associated with relying on the Services for any campaign.

    13. High-Risk Use Disclaimer

The Services are not designed or intended for use in connection with emergency services, medical or clinical decision-making, life-safety systems, aviation, nuclear facilities, or other environments where failure could lead to death, personal injury, or severe physical or environmental damage. You will not use the Services for such purposes, and we disclaim all liability arising from any such use.

    14. Indemnification

14.1 By You. You will defend, indemnify, and hold harmless Verbeo AI and its affiliates, officers, employees, and agents from and against any third-party claims, damages, losses, liabilities, fines, and expenses (including reasonable legal fees) arising from or relating to: (a) your use of the Services; (b) your Customer Data or AI Agent configurations; (c) your breach of these Terms or the AUP; (d) your violation of any law, including telecom, consumer-protection, or data-protection laws (for example TCPA, DNC, recording-consent, DPDP, PDPL, or GDPR); or (e) your violation of any third party's rights.

14.2 By Us. We will defend you against a third-party claim that the Services, as provided by us and used in accordance with these Terms, infringe that third party's intellectual-property rights, and will pay damages finally awarded (or agreed in settlement). This obligation does not apply to claims arising from: (a) Customer Data or your configurations; (b) combination of the Services with anything not provided by us; (c) your use in breach of these Terms; or (d) your use of an outdated version where an update would have avoided the claim. This Section states your exclusive remedy and our entire liability for IP infringement claims, subject to Section 15.

14.3 Procedure. The indemnified party will promptly notify the indemnifying party, allow it to control the defense, and reasonably cooperate. No settlement that imposes obligations on the indemnified party is binding without its consent.

    15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. EXCEPT FOR (i) YOUR PAYMENT OBLIGATIONS, (ii) YOUR INDEMNIFICATION OBLIGATIONS, (iii) YOUR BREACH OF THE AUP, OR (iv) EITHER PARTY'S BREACH OF THE OTHER'S INTELLECTUAL-PROPERTY RIGHTS, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100) FOR SERVICES USED UNDER A FREE TRIAL OR BETA. THESE LIMITS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

    16. Service Levels

We will use commercially reasonable efforts to make the paid Services available with at least 99.5% monthly uptime, excluding scheduled maintenance and events outside our reasonable control. Any specific service-level commitments, credits, or support response times apply only where set out in a separate SLA or enterprise order form.

    17. Term, Suspension, and Termination

17.1 Term. This Agreement applies for as long as you use the Services or have an active account.

17.2 Suspension. We may suspend access immediately if we reasonably believe your use poses a security, legal, or operational risk, violates the AUP, or involves non-payment.

17.3 Termination. Either party may terminate for material breach not cured within 30 days of notice. You may terminate by closing your account and ceasing use. We may terminate or decline to renew with reasonable notice.

17.4 Effect. On termination, your right to use the Services ends, and you remain responsible for fees accrued. We will make Customer Data available for export for a limited period and then delete or de-identify it in line with our retention practices and the Privacy Policy, unless retention is required by law.

    18. Dispute Resolution and Governing Law

18.1 Informal Resolution. Before starting any formal proceeding, the parties will attempt in good faith to resolve the dispute by sending a written description to the other party and negotiating for at least 60 days.

18.2 Governing Law. This Agreement is governed by the laws of the United Arab Emirates, without regard to conflict-of-laws principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods.

18.3 Arbitration. Any dispute not resolved informally will be finally resolved by binding arbitration seated in the Dubai International Financial Centre (DIFC), conducted in English before one arbitrator, under the Arbitration Rules of the Dubai International Arbitration Centre (DIAC). Judgment on the award may be entered in any court of competent jurisdiction.

18.4 Class-Action Waiver. To the extent permitted by law, disputes will be resolved only on an individual basis, and not as a class, collective, or representative action.

18.5 Injunctive Relief. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or Confidential Information.

    19. Export Controls and Sanctions

You represent that you are not located in, and will not use the Services from, a country or region subject to comprehensive sanctions, and that you are not a restricted or denied party under applicable export-control or sanctions laws. You will not use or export the Services in violation of those laws.

    20. General

20.1 Modifications. We may update these Terms by posting a revised version with a new "Last Updated" date. Material changes will be notified by reasonable means. Continued use after the effective date constitutes acceptance.

20.2 Assignment. You may not assign this Agreement without our prior written consent. We may assign it in connection with a merger, acquisition, or sale of assets.

20.3 Force Majeure. Neither party is liable for delays or failures (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, pandemics, government action, and network or utility failures.

20.4 Severability. If any provision is held unenforceable, it will be limited or removed to the minimum extent necessary, and the rest of the Agreement remains in effect.

20.5 Order of Precedence. If these Terms conflict with an order form or SLA, these Terms control unless the order form or SLA expressly states otherwise.

20.6 No Waiver. Failure to enforce a provision is not a waiver of it.

20.7 Notices. Legal notices to us must be sent to legal@verbeo.ai and to SimplifyGenAI LLC, Sharjah Media City (Shams), Sharjah, United Arab Emirates. We may give notice to you electronically, including by email or through the Services.

20.8 Survival. Provisions that by their nature should survive termination (including Intellectual Property, Confidentiality, Indemnification, Limitation of Liability, Dispute Resolution, and General) will survive.

20.9 Entire Agreement. These Terms, the Privacy Policy, any DPA, and any order forms constitute the entire agreement between the parties and supersede all prior understandings on the subject.
